These Terms and Conditions (“Terms”) govern your access to and use of the MattressX General Merchandises platform (“MattressX”, “we”, “our”, or “us”), including the website, mobile applications, wholesale portals, and any associated services. By creating an account, placing an order, or accessing our services, you (“Customer”, “you”, or “User”) agree to be bound by these Terms in full. If you do not agree, you must not use the platform.
1. Scope and Acceptance
1. These Terms apply to all customers, including retail buyers, wholesale clients, and international clients.
2. MattressX reserves the right, at its sole discretion, to refuse service to any individual or entity for any reason, including but not limited to fraudulent, unlawful, or abusive activity.
3. By using the platform, you confirm that you have the legal capacity to enter into binding agreements and comply with applicable laws in your jurisdiction.
2. Account Registration and Customer Obligations
1. Customers may be required to register for an account to access certain features or wholesale pricing.
2. All registration information must be true, accurate, and up-to-date. MattressX reserves the right to suspend, terminate, or refuse accounts that provide false or misleading information.
3. Customers are responsible for safeguarding login credentials. Any activity under your account is deemed authorized by you. MattressX is not liable for unauthorized account use unless caused by gross negligence.
4. Wholesale clients may be subject to verification processes, including business registration checks, financial assessment, and trade reference validation.
3. Product Information and Availability
1. MattressX distributes mattresses, bedding, and related products but does not manufacture.
2. Product descriptions, images, specifications, and pricing are provided in good faith; minor discrepancies may occur.
3. MattressX reserves the right to correct errors, update descriptions, modify pricing, and limit quantities at its discretion.
4. All orders are subject to product availability. No order is confirmed until MattressX explicitly acknowledges it.
4. Orders and Contract Formation
1. An order is a binding offer by the Customer to purchase products under these Terms.
2. MattressX may require verification of orders, especially for high-value or COD transactions.
3. MattressX may cancel, refuse, or modify orders for reasons including, but not limited to, unavailability, pricing errors, suspected fraud, or breach of Terms.
4. Any contract is formed upon MattressX’s acceptance of the order, which may be communicated via email, phone, or electronic confirmation.
5. Pricing and Payment
1. All prices are listed in Uganda Shillings (UGX) unless otherwise stated and include VAT where applicable.
2. Payment must be made using approved methods at checkout, including mobile money, bank transfer, online card payments, or cash on delivery (COD) where permitted.
3. Payment confirmation is required before dispatch, except for approved COD orders. MattressX reserves the right to limit or refuse COD for risk management.
4. Pricing errors are subject to correction. If a significant error occurs, MattressX may cancel the order and refund any payments made.
6. Delivery, Risk, and Title
1. Estimated delivery times are provided for convenience; MattressX is not liable for delays caused by circumstances beyond its control.
2. Customers are responsible for providing accurate delivery information.
3. Risk of loss or damage passes to the Customer upon delivery, unless caused by MattressX’s negligence or error.
4. Title to goods passes to the Customer upon full payment, regardless of delivery method.
7. Returns and Refunds
1. Returns are accepted within 7 days for defective or damaged items only.
2. Items must be returned in original condition and packaging.
3. Refunds or replacements are processed after inspection. MattressX reserves the right to approve or reject returns.
4. Additional terms may apply for wholesale clients or bulk orders.
8. Customer Conduct and Prohibited Use
1. Customers must not engage in:
• Fraudulent or abusive activity
• Unauthorized resale or misrepresentation of products
• Use of the platform for unlawful or unethical purposes
2. MattressX may suspend, terminate, or block access to accounts for violation of these Terms without prior notice.
9. Data Protection and Privacy
1. Customer data is handled according to our Privacy Policy, which is integrated into these Terms.
2. MattressX complies with the Uganda Data Protection and Privacy Act 2019 and applies international best practices (GDPR-aligned) for data security.
3. By using the platform, you consent to collection, processing, storage, and international transfer of personal data as described in the Privacy Policy.
10. Intellectual Property
1. All content, trademarks, logos, product images, and branding on the platform are owned by MattressX or its licensors.
2. Customers may not copy, reproduce, distribute, or use platform content without written permission.
11. Limitation of Liability
1. MattressX’s maximum liability shall not exceed the total value paid for the product(s) in question.
2. MattressX is not liable for indirect, incidental, or consequential losses, including but not limited to loss of profits, business interruption, or reputational damage.
3. MattressX makes no warranties of uninterrupted access, error-free operation, or suitability of products for any specific purpose, except as expressly stated.
12. Governing Law and Dispute Resolution
1. These Terms are governed by the laws of Uganda.
2. All disputes shall first be attempted to resolve amicably. Failing resolution, disputes shall be submitted to the competent courts in Uganda.
3. For international clients, disputes may be subject to mutual arbitration under internationally recognized rules, as agreed by both parties.
13. Force Majeure
MattressX is not liable for delays or failure to perform obligations caused by events beyond its reasonable control, including natural disasters, strikes, pandemics, transport disruptions, or government actions.
14. Amendments
MattressX reserves the right to amend, modify, or update these Terms at any time. Continued use of the platform constitutes acceptance of the updated Terms.
